Selling a software agency or IT company? The build record has buyers
A buyer of your development agency pays for clients and engineers. AI companies want the build record: specs, tickets, code reviews and the discussion behind each decision.
The catch for agencies is ownership. Much of the code you wrote belongs to clients.
In this guide
01
Is my agency big enough?
Floors usually sit at 20 to 30 staff, and software ranks first for several buyers. Dev shops with stable engineering teams and tidy issue trackers stand out.
02
Client-owned code is usually off the table
Client contracts usually assign the code to the client. What remains yours is often internal tooling, templates, process documents, estimation history and the internal discussion. Expect buyers to exclude client-owned repositories.
Less of your code will qualify than you expect. SimpleClosure found about 37% fell away after removing duplicates, generated output and outside libraries.
03
Access, effort and payment
Some buyers start with read-only access to the repositories and tools you approve. Payment typically lands three to six weeks after signing. Foley & Lardner notes that acquirers now review training-data rights in diligence.

Questions to put to any data buyer
- Is this a license of a copy, or a sale of the records outright?
- Is it exclusive, and for how long? Can I license the same data elsewhere later?
- Which systems and date ranges are in scope, and can I leave folders or whole tools out?
- Who removes names and personal details, how, and do I approve a sample before anything leaves?
- When does payment arrive, and does the clock start at signing or at your acceptance of the delivery?
- Do I pay anything, and does anyone in the chain take a cut?
- How long do you keep the copy, and what happens to it if you are acquired?
FAQ
Questions, answered
Can we license code written for clients?
Usually not without the client's consent. Check your contracts.
Will all our code count?
Less than the raw total once third-party and duplicate code is removed.
Is my company big enough?
The usual floor is somewhere from 20 to 30 staff. Some buyers publish none at all. Mode accepts law firms with 6 people and accounting firms with 10, and Pewter goes by your highest-ever headcount. Our match quiz sorts it out in two minutes.
Do I pay anything to license?
Typically no. Direct buyers rarely charge sellers. Middlemen are different: brokers and marketplaces may keep anywhere from 8% to 30%. Have any fee written down before a sample changes hands.
