Selling or merging a law practice? Your forms and know-how can be licensed
Law firms accumulate years of internal email, training memos, checklists and forms. That record has buyers: AI companies license copies, and several name law as a target.
The hard line is client confidentiality. Your firm's own know-how can be licensed. Client files cannot be handed over casually.
01
Which buyers want a firm like mine?
Law firms are welcome at several buyers, often near the top of the list. Mode accepts firms of 6 or more, far below the usual 20 to 30. Some buyers refuse legal altogether right now, so confirm before booking a call.
02
Separating client matters from firm know-how
- Licensable: templates, checklists, internal training, practice guides, intake procedures
- Restricted: client files, privileged communications, matter details
03
When to have the data conversation
Before a merger or sale agreement is signed. Professional conduct rules on confidentiality apply, and your bar's guidance matters more than any buyer's promise. A prior license will also come up in the other firm's diligence.

Questions to put to any data buyer
- Is this a license of a copy, or a sale of the records outright?
- Is it exclusive, and for how long? Can I license the same data elsewhere later?
- Which systems and date ranges are in scope, and can I leave folders or whole tools out?
- Who removes names and personal details, how, and do I approve a sample before anything leaves?
- When does payment arrive, and does the clock start at signing or at your acceptance of the delivery?
- Do I pay anything, and does anyone in the chain take a cut?
- How long do you keep the copy, and what happens to it if you are acquired?
FAQ
Questions, answered
Will a buyer take a small firm?
Mode may, from 6 people. Most others need 20 to 30.
Has a law firm deal been published?
Not that we found. Use the general ranges, mostly $100K to $2M, as ranges only.
Can we license anything from client files?
Treat client files as out of scope unless ethics counsel advises otherwise.
Do I pay anything to license?
Typically no. Direct buyers rarely charge sellers. Middlemen are different: brokers and marketplaces may keep anywhere from 8% to 30%. Have any fee written down before a sample changes hands.
